Atheris OÜ (referred to as “Atheris,”Company,” “we,” or “us”), is a private limited company registered in Estonia under registration number 17222265, engaged in data processing, hosting, and related activities (EMTAK code 6311). The Company’s registered address is Krüüsli tn 7, 12916 Tallinn, Estonia, and its contact email is office@atheris.tech. Atheris operates this technology-focused website and associated online services (collectively, the “Services” or “Site”).

These Terms of Use (the “Terms”) form a legally binding agreement between you (the “User” or “you”) and Atheris. By accessing or using our Site or Services, you acknowledge that you have read, understood, and agree to be bound by these Terms, together with any other applicable policies (such as our Privacy Policy). If you do not agree with these Terms, you must not use the Site or Services.

Eligibility

You must be at least 18 years of age (or the age of legal majority in your jurisdiction) to use our Site and Services. If you are under 18, you may use the Services only with the involvement and consent of a parent or legal guardian, who must read and agree to these Terms on your behalf. By using the Services, you represent and warrant that you meet this age eligibility requirement and are otherwise legally capable of entering into a binding contract. Atheris reserves the right to investigate and take appropriate legal action against any misuse of the Site or Services.

Intellectual Property Rights

All content, features, and functionality available on or through the Site – including but not limited to text, graphics, logos, buttons, icons, images, audio clips, video, software, and underlying code – are the exclusive property of Atheris OÜ or its licensors and are protected by intellectual property laws. Atheris retains all rights, title, and interest in and to its Services and Site content. Your use of the Site does not grant you any ownership of any content or software you access on our platform.

Subject to your compliance with these Terms, you are granted a limited, revocable permission to access the Site and view the content for your personal or internal business use. You may not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, or transmit any of the material on our Site without our prior written permission, except as automatically and transiently incidental to your use of the Site in the ordinary course (such as caching by your browser). If you choose to provide feedback, suggestions, or ideas to Atheris regarding the Services, you agree that Atheris is free to use and implement such feedback without obligation or compensation to you, and you hereby grant Atheris a perpetual, worldwide, irrevocable license to use the feedback in any manner.

Fees, Payments, and Refunds

Certain Services provided by Atheris may be offered for a fee or other charges. If you choose to purchase any paid Services or features, you agree to the pricing, payment, and billing terms applicable to those fees as posted or communicated to you. All amounts are due in the currency and on the schedule specified at the time of purchase, and you authorize Atheris (or our designated payment processor) to charge your chosen payment method for any due amounts, including applicable taxes or fees. You must provide current, valid payment information and promptly update it if it changes. Atheris may change its fees or payment policies from time to time by updating the pricing on our Site or by other notice; if you do not agree to a fee change, you must stop using the paid Service before the change takes effect.

Refunds: Except where required by applicable law or our express agreement, all payments for Services are final and non-refundable once paid. Notwithstanding the foregoing, if you are a consumer (acting outside your trade or profession), you have the right under EU law to withdraw from the contract within fourteen (14) days of entering into it. To exercise this right, you must notify us in writing before the 14-day period expires. Upon valid withdrawal within this period, we will refund you promptly — and in any event no later than 14 days after we receive your cancellation notice — using the same payment method you used to pay (unless you expressly agree otherwise).

After the withdrawal period has expired, payments are generally final. If you terminate a prepaid subscription before the end of the paid term, or if Atheris discontinues a Service without fault on your part, we will refund any unused portion of your fees on a pro-rata basis, calculated from the effective termination date. For example, if you prepaid for a one-year subscription and cancel after six months, you may receive a refund for the unused six months, subject to applicable law and any minimum commitment period. If Atheris terminates a Service entirely (for example, if we shut down a platform), we will issue you a pro-rata refund for the remainder of your paid subscription term.

In all cases, refunds will be processed promptly (typically within 14 days) using the original payment method. You are responsible for any differences in currency conversion fees or bank charges. No interest will be paid on refunded amounts. Except as expressly stated in these Terms or required by law, you agree that Atheris is under no obligation to provide refunds for payments already rendered.

Atheris may, at its discretion, choose to issue refunds or credits in extenuating circumstances (for example, for unused services due to material service outages) or to comply with special legal requirements. Any refund or credit provided outside of the legally mandated withdrawal right or subscription termination will be in Atheris’s sole discretion and shall not constitute an admission of liability or change these Terms.

No Chargebacks or Retroactive Refunds: You must not initiate any unauthorized chargeback or refund claim through your bank or payment provider without first contacting Atheris. If you cancel your payment method, dispute a charge, or take any refund action without our consent, we reserve the right to immediately suspend or terminate your account and seek any necessary recovery of amounts due.

Privacy and Data Protection

Your privacy is important to us. Our collection, use, and processing of personal data in connection with the Services are described in our Privacy Policy, which is incorporated into these Terms by reference. We encourage you to read the Privacy Policy to understand how we handle your information. By using the Site or Services, you acknowledge that you have read the Privacy Policy and agree that Atheris can collect, use, and share your information as described therein. Disclaimer of Warranties

The Services are provided on an “AS IS” and “AS AVAILABLE” basis. To the fullest extent permitted by law, Atheris disclaims all warranties, conditions, and representations of any kind, either express or implied, including but not limited to any implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, and any warranties arising out of course of dealing or usage of trade. We do not guarantee that the Site or Services will meet your requirements or expectations, or that access to the Services will be uninterrupted, secure, error-free, or free of viruses or other harmful components.

Atheris makes no warranty or representation regarding the accuracy, completeness, availability, or reliability of any content or information on the Site. You use the Site and Services at your own risk. Any material downloaded or otherwise obtained through the use of our Services is done at your own discretion and risk, and you are solely responsible for any damage to your computer system or loss of data that results from the use of any such material.

No advice or information (whether oral or written) obtained from Atheris or through the Services shall create any warranty not expressly stated in these Terms. Some jurisdictions do not allow the exclusion of certain warranties, so to that extent, some of the above exclusions may not apply to you. In such cases, any implied warranties are limited to the minimum scope and duration permitted by law.

Limitation of Liability

To the maximum extent permitted by applicable law, Atheris OÜ and its officers, directors, employees, agents, partners, and affiliates shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages whatsoever, including but not limited to damages for lost profits or revenues, loss of data, loss of business opportunities, goodwill, or other intangible losses, arising out of or in connection with your use of (or inability to use) the Site or Services, or these Terms. This limitation of liability applies regardless of the form of action, whether in contract, tort (including negligence), strict liability, or any other legal theory, even if we have been advised of the possibility of such damages.

In addition, and to the extent permitted by law, Atheris shall not be responsible for any compensation, reimbursement, or damages arising in connection with: (i) your inability to use the Services, including as a result of any termination or suspension of our Services or these Terms, (ii) the cost of procurement of substitute services, (iii) any investments, expenditures, or commitments by you in connection with your use of the Services, or (iv) any unauthorized access to, alteration of, or deletion, destruction, damage, loss or failure to store any of your data.

Maximum Liability: If, notwithstanding the above disclaimers, Atheris is found liable for any claim or dispute arising out of or relating to the Services or these Terms, our aggregate liability to you shall not exceed the amount (if any) you have paid to us for the use of the Services in the twelve (12) months immediately preceding the event giving rise to liability. If you have paid no fees to us, Atheris’s total liability for any claim shall in no case exceed a nominal sum of EUR 100.00 or the minimum amount permitted by law (whichever is greater). The existence of multiple claims will not enlarge this limit.

Nothing in these Terms shall limit or exclude Atheris’s liability for gross negligence, willful misconduct, or for any other liability that cannot be excluded or limited under law (such as liability for death or personal injury caused by our negligence, or fraudulent misrepresentation). Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you. In such cases, our liability will be limited to the fullest extent permitted by applicable law.

Termination and Suspension

By Atheris: We reserve the right to suspend or terminate your access to the Site and Services, or to deactivate or delete your account, at any time for any reason, including if we reasonably believe that you have violated these Terms or any applicable law, or if your use of the Services could cause harm to Atheris, other users, or third parties. We may do so with or without prior notice. In the event of termination or suspension, your right to use the Services will immediately cease. We shall not be liable to you or any third party for any termination of your access to the Services. If your account is terminated due to a breach of these Terms, you are not entitled to any compensation or reimbursement, and you may not create a new account without our express permission.

By You: You may terminate this agreement at any time by discontinuing all use of the Site and Services and, if applicable, by deleting your user account. If you wish to delete your account, you may contact us or use any account termination functionality provided on the Site. Termination of your account will result in the deactivation or deletion of your account and the forfeiture of all associated data (except to the extent we are required to retain data under law or as outlined in our Privacy Policy).

Effect of Termination: Upon any termination of this agreement, the rights and licenses granted to you under these Terms will immediately end. The following sections of these Terms will survive termination (meaning they will remain in effect even after the agreement ends): Intellectual Property Rights, Disclaimer of Warranties, Limitation of Liability, Governing Law and Dispute Resolution, Modifications, Contact Information, and any other provisions that by their nature should survive termination.

Modifications to Terms

Atheris may revise or update these Terms of Use from time to time in its discretion. If we make material changes, we will provide notice to you by posting the updated Terms on our Site and updating the “Last updated” date (or by other reasonable means, such as email notification if appropriate). It is your responsibility to review these Terms periodically.

Unless otherwise required by law, changes to the Terms will be effective when published. If you continue to use the Site or Services after the new Terms take effect, you will be deemed to have accepted the changes. If you do not agree to any modified Terms, you must stop using our Services. No amendment or modification of these Terms will be binding unless posted by us on the Site or explicitly agreed in writing between you and Atheris.

Governing Law and Dispute Resolution

These Terms of Use and any disputes arising out of or relating to the Services or this agreement shall be governed by the laws of the Republic of Estonia, without regard to its conflict of law principles. You and Atheris agree that the United Nations Convention on Contracts for the International Sale of Goods does not apply to these Terms.

Jurisdiction: All disputes or claims arising out of or in connection with these Terms or your use of the Services shall be subject to the exclusive jurisdiction of the courts of Estonia. You and Atheris consent to the venue and personal jurisdiction of the courts located within Estonia for the purpose of litigating any such dispute. Notwithstanding the foregoing, Atheris reserves the right to seek injunctive or equitable relief in any jurisdiction to prevent or stop irreparable harm.

If you are using the Services as a consumer (an individual acting outside of the course of business) in the European Union, you may have additional rights under mandatory consumer protection laws, including the right to bring an action in the courts of your country of residence. These Terms do not limit any such rights you may have that cannot be waived by contract.
